Main finances, techniques and structures

PURPOSE

Identify the main financing techniques and structures (BOT, off-shore, PPP etc…) used to finance a project. Assess the main risks involved in structuring a project finance.

AUDIENCE

Bankers involved directly or indirectly in the Project Finance business; Executives from industrial companies active either in commercial, legal or engineering positions where a knowledge of Project Finance fundamentals is required. Officials from governmental agencies, involved in PPP’s.

PEDAGOGICAL METHOD

Process based on an active contribution of the participants, with real-life cases allowing exchanges between participants and experts. A support booklet is handed out during the training.

PRE-NECESSARY

Good knowledge of the basics of Trade finance.

PROGRAMME

DAY 1
MORNING SESSION : Introduction

  • Project Finance: what it is and what is not. Comparing it with asset finance and corporate finance
  • “Hands on” session with a case study: the Halliburton – Sonangol crude oil financing (USA / Angola). Learn how to circumvent political risk and mitigate commercial risks through optimal deal structuring? And put in perspective Export and Project Finance.
  • Main market players in the Project Finance business: industrial sponsors, commercial contractors (assets manufacturer, O&M, suppliers etc..), off taker, host countries, ECA’s, Multilaterals (MLA’s), banks (lenders, arrangers, underwriters), rating agencies.

AFTERNOON SESSION

  • Main financing structures: From B.O.T. to Design, Build & Operate (D.B.O.)
  • Case study : An example of infrastructure finance with Multilateral co – financing.

DAY 2
MORNING SESSION

  • Introduction to the lending process and risk analysis. Risk appraisal from a banker’s perspective.
  • Going through the main practicalities of a project financial model and assessing the debt capacity of a project using a real-life project deal

AFTERNOON SESSION

  • Presentation of Bpifrance main terms and requirements when supporting a project finance.
  • Review of recent developments in the Project Finance industry: Public Private Partnerships and PFI.
  • Case study: a PPP project analyzed with the risk analysis’ matrix of a rating agency
